Arsenal to Acquire Cyalume for $45M

FORT LAUDERDALE, Fla.--(BUSINESS WIRE)--Cyalume Technologies Holdings, Inc. (OTCQB:CYLU) announced the signing of a definitive agreement and plan of merger, pursuant to which Cyalume will be acquired by an affiliate of Arsenal Capital Partners in an all-cash transaction. The total cash consideration to be paid by the purchaser in the transaction is $45 million, subject to certain adjustments set forth in the merger agreement, which includes the repayment of outstanding indebtedness of the Company. The deal is expected to close in September 2017, subject to the satisfaction of the closing conditions set forth in the merger agreement. Upon completion of the transaction, the management team will remain in place.
