Ballard Spahr Partner Katayun Jaffari has been appointed a Vice Chair of the Corporate Governance Committee of the American Bar Association's (ABA) Business Law Section.

In this capacity, Ms. Jaffari will be responsible for overseeing creation and distribution of content to help boardrooms address their most complicated legal questions and challenges. Ms. Jaffari's three-year term is effective immediately.

The Corporate Governance Committee aims to promote and support effective corporate governance, domestically and internationally, for business and nonprofit enterprises. The Committee develops resources and provides thought leadership; generates networking opportunities; and facilitates a forum for the exchange of legal and practical information and insights on emerging governance policy issues for the benefit of attorneys, including both outside and in-house counsel, and other governance professionals.

Ms. Jaffari handles complex securities transactions for businesses in a variety of industries, including biotechnology, energy, and technology. She advises clients in multibillion-dollar deals and has broad experience in business finance, including public offerings, stock-for-stock mergers, private placements of common stock, and offerings of convertible notes.

Ms. Jaffari’s focus on corporate governance includes counseling clients on compliance with federal laws such as the Sarbanes-Oxley Act, the Dodd-Frank Act, and the JOBS Act. She helps clients develop compliance programs and guides them in matters concerning their corporate governance responsibilities.
