Fibrocell Closes $10.5 Million Underwritten Public Offering

EXTON, Pa., Dec. 11, 2017 (GLOBE NEWSWIRE) -- Fibrocell Science, Inc. (NASDAQ:FCSC), a gene therapy company focused on transformational autologous cell-based therapies for skin and connective tissue diseases, today announced the closing of the previously announced underwritten public offering of 13,636,364 shares of its common stock (Common Stock) (or Common Stock equivalent) and common warrants to purchase up to an aggregate of 14,046,950 shares of Common Stock (the Offering), including common warrants to purchase up to 410,586 shares of Common Stock pursuant to the partial exercise of the underwriter’s option to purchase additional common warrants (the Partial Exercise). Each share of Common Stock (or Common Stock equivalent) was sold together with a common warrant to purchase one share of Common Stock at a combined effective price to the public of $0.77 per share and accompanying common warrant.

H.C. Wainwright & Co. acted as the sole book-running manager for the Offering.
